In mid-2026 Innoviz launched a new brand, Perciz, applying the same automotive-grade platform to defense and homeland-security uses (counter-UAS, perimeter security), booking a first multi-million-dollar defense order (~$3.5 million) and receiving formal recognition from MAFAT (Israel's Ministry of Defense R&D directorate) on September 17, 2026.
The financial picture is one of real but extremely lumpy growth. FY2025 revenue was $55.09 million, +127% YoY, but the quarter-to-quarter pattern in 2026 has been volatile: Q1 2026 revenue fell to just $7.1 million with a negative gross margin of -22.2%, before Q2 2026 rebounded to a record $18.1 million (+87% YoY) — still only a 3.9% gross margin, down sharply from 16.0% a year earlier. It is a rating driven by a binary, unresolved, and imminent listing-status risk that this report believes dominates the near-term outcome for shareholders far more than the quality of the BMW/VW/Mobileye relationships does.
Innoviz Technologies Ltd. is an Israeli company that files as a foreign private issuer — Form 20-F annual reports and Form 6-K current reports, not the 10-K/10-Q regime that applies to US domestic filers like some peers in this report. Its ordinary shares trade on Nasdaq, subjecting the company to Nasdaq's listing and governance standards, including Listing Rule 5550(a)(2) (the $1.00 minimum bid-price requirement) — the specific rule at the center of the company's current compliance situation.
Innoviz maintains a single class of ordinary shares, with no dual-class or founder-control structure identified. No adjudicated misconduct, but a live, binary listing-status risk this report treats as the central governance fact, not a footnote. Innoviz's single-class structure, resolved legacy litigation, and clean current auditor relationship are genuine positives. But an unresolved Nasdaq compliance deadline that expired two days before this report's reference date, combined with extreme customer concentration and a board still being reconstituted mid-crisis, means this report cannot treat governance as a settled, low-risk item the way it can for some peers — it is the reason the rating below is SELL rather than a valuation call on the design-win pipeline alone.
